Purpose

1. The purpose of Keystones is:

  • To promote awareness of investments in startups and scaleups

  • To provide private investors with better access to and insight into qualified startups and growth companies seeking capital and expertise

  • To scale ambitious Danish growth companies by providing risk capital and competencies

Keystones’ mission is, through a professional and dynamic membership network, to facilitate the investment of risk capital and risk competencies into startups and scaleups.

To realize this mission, we have established the Keystones Network, consisting of members who wish to invest in growth companies. The following Terms of Membership are intended to inform current and future members of Keystones about our ethical and professional guidelines.

Member expectations

2. As a member of Keystones, you are expected to have an interest in investing risk capital in startups and scaleups. Investments may often be combined with so-called “sweat equity,” where members contribute time and expertise at, for example, board, advisory board, or management level.

3. In connection with investments and involvement in growth companies, members are expected to act on a sound and informed basis that benefits growth companies, investors, and the industry as a whole, including its reputation. Keystones strives to be recognized for professionalism, and we expect our members’ actions to reflect this.

4. Members are expected at all times to act honorably and respectfully when engaging with companies and investors introduced through Keystones, as well as outside Keystones, in accordance with Keystones’ Terms of Membership and applicable legislation.

5. Keystones’ infrastructure and membership platform are used for communication and information sharing. This must be respected. It is not permitted to extract data, communication, or information from Keystones’ membership platform without prior consent from the secretariat.

What we offer our members

6. Keystones offers its members the opportunity to participate in a large Danish network of risk-willing investors from various sectors of the business community.

7. Members are continuously presented with potential investment opportunities in growth companies, both digitally and at physical events. Membership includes relevant education, courses, and events, including networking opportunities with other members.

Confidentiality

8. Members must under no circumstances disclose, sell, or exploit confidential information obtained through contact with companies, investors, or Keystones, unless otherwise agreed in writing.

9. Members are obligated to treat confidential information in a manner that ensures it remains inaccessible to unauthorized parties.

Conflict of interest

10. Members must avoid conflicts of interest and are obligated to continuously assess whether they may be considered conflicted in relation to their activities involving companies, investors, Keystones, or other parties.

11. Keystones cannot be held liable for conflicts of interest involving companies, investors, or other relationships.

Code of conduct

12. Members of Keystones must maintain a professional and respectful tone when engaging with companies, investors, partners, and other stakeholders. We do not accept any form of degrading or offensive behavior, harassment, or bullying.

Any such incidents should be reported immediately to the Keystones secretariat management. All inquiries will be handled confidentially. Depending on the nature of the case, consequences may include termination of membership, dissolution of partnerships, or involvement of an independent external professional.

Violation of membership terms

13. Members are expected to comply with guidelines issued by Keystones, including these Terms of Membership.

14. Consequences of violations depend on severity and may result in a warning or termination of membership. Membership fees are non-refundable.

Data protection

15. By becoming a member, you accept Keystones’ Data Protection Policy as described on keystones.dk/persondatapolitik. Members grant Keystones the right to use provided information for promotional, analytical, and service improvement purposes.

Liability and risks

16. Members are fully responsible for their own actions and decisions.

17. Members may be held liable for any damage to Keystones’ reputation or misuse of Keystones’ intellectual property.

18. Keystones cannot be held liable for transactions or collaborations between members, companies, or investors.

19. Members also accept Keystones’ general Risici- og ansvarserklæring.

Membership fee

20. The Keystones membership fee is annual. Prices and conditions are available on keystones.dk.

21. Membership is valid for the agreed and paid period. Membership renews annually unless terminated. Payments are not automatically withdrawn.

22. New memberships may be canceled within 30 days for a full refund.

23. Invoices are typically issued to a holding company, operating company/employer, or the member privately.


Terms of membership are effective as of January 1, 2025.
